As the sole authorized distributor of these proprietary tools, Morsels Publishing ensures the integrity and specialized licensing for institutional and personal use.
We are humbled that you wish to share these Sermon Packs and Systems with your congregation. Our goal is to see believers everywhere become Rooted and Fortified. We believe the Word is a rooted truth that does not need to be diluted to be effective.

Understanding Your Licenses
We offer 3 distinct paths for sharing Armor of Oak resources, depending on the scope of your needs. All church-level licenses are tiered based on average weekly attendance to ensure our proprietary tools remain accessible to ministries of all sizes. The transaction receipt from Morsels Ministry of Christ or Armor of Oak constitutes the License Certificate, incorporating by reference all terms of this Agreement. This receipt must be retained with the resource at all times to verify authorized use.
1. Personal Growth
Description: This is for a single individual.
License: Permission is granted for a single user dedicated to personal spiritual growth and private study to use the selected material that the license comes with. Resource Licenses cannot be transferred from one person to another or from one resource to another.
Expiration: Perpetual for that specific version of the resource purchased and for the single individual who purchased it. Redistribution of any resource or study tool to a different person is strictly prohibited. Use of any resource or study tool in a group setting is also strictly prohibited.

2. The Sanctuary (Per-Church)
Description: This is for a single physical group meeting location or single local church or ministry campus.
License: Permission is granted for use by the internal staff, and all internal ministry volunteers and leaders officially affiliated with that single physical location. Resource Licenses cannot be transferred from one campus to another or from one resource to another. Loaning of any Armor of Oak or Morsels resource to traveling evangelists, guest speakers or outside consultants is strictly prohibited and against intellectual property & copyright laws.
Expiration: Perpetual for that specific version of the resource purchased, and for the specific location. Redistribution of any resource or study tool to a different campus or group is strictly prohibited.
Photocopy Permission: The purchase of each resource License grants the specific location of the Organization the right to produce physical photocopies of the Licensed Material as noted within this Agreement, for internal distribution only. It further grants the right to display digital versions on internal-only devices (individual church owned tablets, ipads, sanctuary screens, or music stands) up to the maximum limit of the purchased Attendee tier for that resource, for internal ministry use only, as noted within this Agreement.
3. Multi-Site / Multi-Campus Compliance
To maintain legal copyright compliance, each distinct physical location must purchase its own Sanctuary License corresponding to that campus's specific attendance tier. This allows each campus of the ministry to adopt the Sermons, the Study Tools, the PAPPY™ and/or MY PAPPY™ Systems as a Core part of their organization-wide culture while respecting the Scriptorium.
Requirement: Multi-site ministries must purchase the selected resource (which includes the resource license) for each location. Resource Licenses cannot be transferred from one campus to another or from one resource to another. Loaning of any Armor of Oak or Morsels resource to traveling evangelists, guest speakers or outside consultants is strictly prohibited and against intellectual property & copyright laws.
Expiration: Each location's license is perpetual for that specific version of the resource purchased, and for that specific individual location.
Each license is unique to its specific tier, the individual resource it accompanies, and a specific physical location. Licenses cannot be transferred to a different location or to a different Armor of Oak product. Loaning of any Armor of Oak or Morsels resource to traveling evangelists, guest speakers or outside consultants is strictly prohibited and against intellectual property & copyright laws.

The use of any Armor of Oak text or Licensed Material for the purpose of training machine learning models or generating derivative AI Content is strictly prohibited.
Integrity of the Manuscript: This license grants permission solely for the live oral local delivery of the Licensed Material, the Core Content and the Trademarks in an authorized ministry setting. The full text of all Licensed Material must be delivered and distributed in their original, unedited form, with the exception of the allowable additions noted within this Agreement. Alteration of the actual Licensed Material, the Core Content, and the Trademarks is strictly prohibited.
Pastoral Flexibility and Personal Commentary: The preacher or teacher may offer their own comments, personal insights, or illustrations strictly during the live oral delivery of the Licensed Material, without textually altering, contradicting, replacing, or changing any part of the Licensed Material. Visual Enhancement: You are encouraged to create original video or graphic images (slide decks, media graphics, or background videos) to enhance the presentation of the material, subject to the media prohibitions set forth elsewhere in this Agreement.
Non-Resale/Non-Distribution: This license is for single physical location ministry use only, to be used by internal staff, leaders, and the immediate congregation belonging to the licensed Organization. Materials may not be resold or redistributed to other locations within your organization, or outside churches, ministries or organizations for any reason, whether for profit or non-profit. Loaning of any Armor of Oak or Morsels resource to traveling evangelists, guest speakers or outside consultants is strictly prohibited and against intellectual property & copyright laws. Recordings of any kind, whether digital, photographical, written, or otherwise of any PAPPY™ System is strictly prohibited. The use, possession, distribution, and acceptance of Sermon Packs, Systems, and all Licensed Material, owned by Armor of Oak are subject to the terms of this Licensing Agreement.
Branding: The Armor of Oak branding and copyright notices must remain clearly visible on all printed Licensed Materials, visual aids with Armor of Oak copyrighted Sermon Pack text and all PAPPY™ Systems and framework mentions, as noted within this Agreement.
Limited License Agreement
GLOBAL DEFINITIONS & LICENSED MATERIAL HIERARCHY
This entire Agreement (“Agreement”) governs the purchase, possession, use, and stewardship of all intellectual property, resources, curriculum, Sermons, and materials produced by Armor of Oak (collectively, the "Licensed Material"). Morsels Ministry of Christ (“Morsels”) is the sole authorized distributor and publisher of all Licensed Material owned by Armor of Oak.
The Organization: As used universally throughout this Agreement, the terms "Individual," "User," "Purchaser," "Church," "Ministry," “Organization”, or "Campus" shall be collectively, and interchangeably referred to as the "Organization." The Organization explicitly agrees that the purchase, use, receipt, possession, or acceptance of any Licensed Material, in any way, legally binds them to this entire Agreement.
Attendees: As used universally throughout this Agreement, the terms “Attendees”, “Membership”, “Congregation”, "Parishioners", or “Members” shall be collectively referred to as “Attendees.” The possession, use, delivery, or implementation of any Licensed Material is strictly confined to the Attendees of the single, specific geographical location of the Organization that obtained the Licensed Material.
Message: As used universally throughout this Agreement, the terms “Message” or “Messages” refer collectively, and interchangeably to the Organization’s localized live oral delivery of Licensed Material, interspersed with their own commentary, personal insights, or illustrations without textually changing any part of the Licensed Material. The original Licensed Material must be presented and delivered fully intact, without edits.
Core Content: As used universally throughout this Agreement, "Core Content" refers to all spoken, written, digital, or recorded text, scripts, manuscripts, outlines, pedagogical concepts, structural charts, acronym breakdowns, definitions, and curriculum materials protected under copyright law and owned exclusively by Armor of Oak.
Trademarks: As used universally throughout this Agreement, "Trademarks" refers to all logos, brands, names, design elements, and Trademarked designations, including, but not limited to, PAPPY™ and MY PAPPY™ owned exclusively by Armor of Oak.
Material Classifications: To maintain the distinct boundaries and restrictions required by the Scriptorium, the term "Licensed Material" is divided into two primary categories under this Agreement:
- "The Systems" and “The System”: Refers collectively to all proprietary pedagogical tools, Systems, structural methodologies, frameworks, acronyms, definitions, books, curriculum structures, scripts, manuscripts, manuscript outlines, bulletin templates, graphic designs, media elements and unique congregational study sheets utilizing the PAPPY™ or MY PAPPY™ names and design. This includes, but is not limited to, the PAPPY™ Habit Tracker System, the PAPPY™ Prayer Guide, the PAPPY™ Basic Bible Study, the MY PAPPY™ Master Bible Study, the MY PAPPY™ Code of Many Colors System, any other PAPPY™ resource, and any future resources built upon these acronyms or structural stages.
- "The Sermon Packs": Refers collectively to all Basic Sermon Packs, Premium Sermon Packs, scripts, manuscripts, manuscript outlines, bulletin templates, graphic designs, media elements, study tools, Sermon series text, and congregational study sheets not explicitly classified under the PAPPY™ or MY PAPPY™ Systems.
1. PAPPY™ Books, Systems & Study Tools
The rules set forth in this section apply universally to all intellectual property utilizing any PAPPY™ System. These Systems are proprietary pedagogical tools and spiritual development frameworks. By utilizing any PAPPY™ System your organization agrees to adhere to the following mandatory compliance standards:
1.1. INTRODUCTION. Subject to the global definitions established above, Armor of Oak grants to the Organization utilizing The System a limited license to use the The System in its entirety and its proprietary intellectual property Core Content as written and Trademarks, as defined within this Agreement, strictly as set forth within this section of this Agreement. This license facilitates the Organization’s localized integration of The System to be delivered exclusively to its immediate Attendees, subject to the strict structural and operational distinctions outlined within this section, and within this Agreement.
1.2. RIGHTS INCLUDED. Depending on the System licensed, the System may include one or more scripts, manuscripts, manuscript outlines, bulletin templates, graphic designs, images, and/or other copyrighted Core Content and Trademarks of the System, logos and brands related to Armor of Oak proprietary Systems. This license does not permit any use of other Armor of Oak Licensed Material, Trademarks, logos, brands or copyrighted Core Content other than that included in the System which is strictly related to The System.
1.3. LIMITED LICENSE. Subject to the terms of this Agreement, Armor of Oak grants to the Organization a limited, non-exclusive, royalty-free license during the Term to add personal insights, commentary or illustrations during the live oral local delivery of The System, without textually changing any part of the Licensed Material, subject to the mandatory compliance standards set forth within the Terms of Stewardship and this Agreement, and to reproduce and display the Trademarks (in accordance with Trademark usage guidelines communicated by Armor of Oak from time to time) only as reasonably necessary to utilize and promote the System. The original Licensed Material must remain, and be delivered, fully intact, without textual changes, edits, or alterations.
1.4. PASTORAL FLEXIBILITY AND PERSONAL COMMENTARY. The internal staff preacher or teacher may offer their own comments, personal insights, or illustrations during the live oral local delivery of the Licensed Material, without textually altering, contradicting, replacing, or changing any part of the Licensed Material. The original Licensed Material must remain and be delivered fully intact, without textual changes, edits, or alterations.
1.5. NO ALTERATION OR REBRANDING. The Core acronyms, definitions, and designated stages of development must be utilized exactly as written by the author. The Organization is strictly prohibited from altering, rearranging, skipping, or substituting any component of any PAPPY™ or MY PAPPY™ Framework or System. In essence, none of the PAPPY™ Systems may be altered, revised, abbreviated, or changed in any way, shape, or form.
1.6. MAINTAINING SYSTEM DISTINCTION. The Organization must, at all times, maintain the clear operational distinction between ALL PAPPY™ and MY PAPPY™ Systems and framework tools in all ministry settings. Each named System must be taught as its own distinct, standalone method. Each named System must not be blended, combined, or presented interchangeably. Each named System can be used simultaneously as complementary tools, but cannot be physically or textually fused, merged, consolidated, utilized to create derivative works, or be used or manipulated into any ulterior form, into a new hybrid asset or custom framework document.
1.7. STRICT STRUCTURAL MEDIA BAN FOR PAPPY™. The Organization is strictly prohibited from creating, designing, displaying, or projecting any visual media, slide decks, sanctuary screen graphics, or digital backdrops, or software driven assets that contain any Core Content, acronym breakdown, color-coded rule, structural chart, workflow step, or key mechanical portion of ANY PAPPY™ or MY PAPPY™ System. The visual display or screen projection of these Systems within the Organization is strictly and unconditionally limited to the text display or verbal mentioning of the official, approved Trademarked name of the System (e.g., "Today we are practicing the PAPPY™ Bible Study Method", or “John 3:16 studied via the PAPPY™ Master System”, or “Learn how to pray the PAPPY™ Prayer way this Sunday”). Physical paper photocopies of the System in its entirety are permitted to be distributed solely to the Organizations in-person Attendees, staff and volunteers. Any recording, broadcasting, filming, or streaming of the Organization’s presentation or teaching of the System by Attendees, staff, volunteers, or any other party involved is strictly prohibited. The Organization is permitted to design localized visual media, slide decks, or screen graphics to accompany live local ministry delivery provided they do not violate this Agreement.
1.8. FRAMEWORK PRESERVATION IN MEDIA. While the Organization is permitted, and encouraged, to create its own original visual media, slide decks, sanctuary screens, or graphics, to fit their local church aesthetic, including raw unannotated Bible passages, the Organization’s original visual media, including scripture text media, must at all times adhere to the Media Ban For PAPPY™, and this Agreement. Biblical text projected on screen must never be in an annotated form using any part of the PAPPY™ System. No digital replication, parsing, or structural outline of the framework’s inner mechanics may be projected on any screen under any circumstances.
1.9. CONGREGATIONAL STUDY TOOLS. The PAPPY™ Habit Tracker System, the PAPPY™ Prayer Guide, the PAPPY™ Basic Bible Study, the MY PAPPY™ Master Bible Study, and the MY PAPPY™ Code of Many Colors System are intentionally designed for full congregational engagement. These specific framework tools and unique study sheets may be widely distributed to your immediate local Attendees to build a shared study culture.
1.10. NO DIGITAL DISTRIBUTION OR DISPLAY. No part of any PAPPY™ System, framework, acronym breakdown, color guide, structural chart, study layout, key component, or teachings whether verbal, written, or digitally designed may be posted, uploaded, displayed, shared, or made accessible on the internet or social media in any way, shape, or form except as authorized.
1.11. AUTHORIZED ONLINE REFERENCES. Organizations and Attendees are legally permitted to mention the name of the Systems online and to share their personal experiences or encourage study habits. Permitted online statements are limited to naming references only, such as: "We are learning how to use the PAPPY™ Bible study System," or "Use the MY PAPPY™ Code of Many Colors System to mark your Bible."
1.12. PROTECTION OF SYSTEM SECRETS. The Organization and its Attendees are strictly prohibited from explaining, revealing, teaching, unauthorized disclosure, dissemination, or unauthorized exploitation of the proprietary methodologies, trade secrets, and confidential intellectual property, including but not limited to operational keys or internal mechanics of any of the PAPPY™ Systems whether verbal, written, digital, or online and whether though social media or any website. If outside individuals or digital viewers inquire about the System mechanics, the Organization and its Attendees must explicitly direct those inquiries to www.ArmorOfOak.org or www.MorselsMinistryOfChrist.org so that they may purchase their own legal user license.
1.13. PERFORMANCE, RECORDING, AND STREAMING RESTRICTIONS. The Organization’s distribution of any PAPPY™ System may be performed solely on the Organization’s premises and may be promoted solely to the Organization’s Attendees, on the Organization’s premises, and on the Organization’s corporate website according to the rules of this Agreement. The organization may stream said recordings from its website, its YouTube channel, or other third-party websites (i.e., Facebook, Instagram, etc.) provided such delivery does not violate the terms of this Agreement. The Organization is prohibited from selling audio, video, or transcriptional recordings of its presentation of any Armor of Oak PAPPY™ System, whether to internal Organization members, or externally to the public or other outside organizations. The Organization agrees not to post Licensed Material, as outlined in this Agreement, without full attribution to Armor of Oak. The Organization agrees not to use any Trademark or Core Content in, on, or associated with any for-sale products, apparel, merchandise, paid curriculum, or services. All use of the Trademarks inures to the benefit of Armor of Oak. Because the internal mechanics, structural stages, and acronym breakdowns of the PAPPY™ and MY PAPPY™ Systems are proprietary trade secrets, the broadcasting, live-streaming, or digital transmission of any teaching session, sermon, or class detailing how to use the System mechanics is strictly prohibited. While the Organization may stream standard sermons, any deep-dive teaching or instructional session focused on the System's operational keys must remain strictly confidential and offline. Furthermore, the Organization is contractually obligated to establish, announce, and strictly enforce a "No Recording" policy during these specific sessions. To satisfy the requirement of taking active, reasonable measures, the Organization must, at a minimum: (1) require the speaker or leader to deliver an explicit verbal announcement prior to the start of the teaching session stating that all video, audio, and photographic recording of the session or materials is strictly prohibited, (2) prominently print a "No Recording/No Cameras Allowed" notice in the physical and digital bulletin or handout distributed for that session, and (3) place visible signage at the main entrance doors of the meeting room or sanctuary indicating the restriction. The Organization must explicitly instruct all staff, leaders, volunteers, and Attendees that the use of cell phones, tablets, cameras, or any other audio/visual recording devices to record the teaching is strictly prohibited. The Organization must take reasonable, active measures to ensure no video, audio, or photographic fragments explaining or showcasing the System mechanics are recorded or uploaded to social media, public websites, shared cloud folders, or personal channels by its staff, associates, members, or Attendees.
2. Sermon Packs
The rules set forth in this section apply universally to The BASIC Sermon Packs, the PREMIUM Sermon Packs, and curriculum, study tools, or resources not explicitly classified under global definition of the PAPPY™ Systems. By utilizing these tools your organization agrees to adhere to the following mandatory compliance standards:
2.1. INTRODUCTION. Subject to the global definitions established above, Armor of Oak grants to the Organization utilizing a Sermon Pack a limited license to use the Sermon Pack proprietary Core Content and Trademarks strictly as set forth within this section and within this Agreement. This license facilitates the Organization’s live oral local delivery and presentation of the Sermon Pack into the Organization’s own localized Message or Messages to be delivered exclusively to its immediate Attendees, subject to the strict limits and integrity boundaries outlined within this section, and within this Agreement.
2.2. RIGHTS INCLUDED. Depending on the Sermon Pack licensed, the Sermon Pack may include one or more scripts, manuscripts, manuscript outlines, bulletin templates, graphic designs, images, and/or other copyrighted Core Content and Trademarks, logos and brands related to Armor of Oak Sermon Packs. This license does not permit any use of other Armor of Oak Licensed Material, Trademarks, logos, brands or copyrighted Core Content other than that included in the Sermon Pack which is strictly related to the Sermon Pack.
2.3. LIMITED LICENSE. Subject to the terms of this Agreement, Armor of Oak grants to the Organization a limited, non-exclusive, royalty-free license during the Term to add personal insights, commentary or illustrations during the live local delivery of the Sermon Pack, without textually changing any part of the Licensed Material, subject to the mandatory compliance standards set forth within the Terms of Stewardship and this Agreement, to create the Organization’s Message, and to reproduce and display the Trademarks (in accordance with Trademark usage guidelines communicated by Armor of Oak from time to time) only as reasonably necessary to utilize and promote the Sermon Pack. The original Licensed Material must remain, and be delivered, fully intact, without textual changes, edits, or alterations.
2.4. QUOTING PRIOR TO LICENSING. Prior to the procurement of an official license from Armor of Oak, no more than 16 words may be quoted directly from the Armor of Oak Sermon Pack and no more than 100 words total may be quoted directly from the Armor of Oak Sermon Pack Series. However, once an official Sermon Pack license is procured, the licensed Organization is granted the right to quote, deliver, and perform the Core Content of the Sermon Pack in its entirety as set forth in this Agreement. The Organization agrees not to alter the Trademarks or the Core Content of the Sermon Pack without prior written approval from Armor of Oak, provided, however, that the Organization may add to the Sermon Pack Core Content as described within this Agreement to make the resulting Organization Messages their own while maintaining the full text of the Sermon Pack along with the theological and Biblical consistency with the Core Content of the Armor of Oak Sermon Pack. The Organization agrees to maintain a high level of integrity, quality, and Biblical consistency in the Organization Message. The Organization acknowledges that representatives of Armor of Oak & Morsels may, on reasonable notice, inspect any use of the Core Content or Trademarks to confirm conformance with these standards.
2.5. FRAMEWORK PRESERVATION IN MEDIA. While ministries are encouraged to create original visual media (slide decks, sanctuary screens, or graphics) to fit their local church aesthetic, the Organization is strictly prohibited from altering the structural layout, Core Content, and concepts of the Sermon Pack.
2.6. PERFORMANCE, RECORDING, AND STREAMING RESTRICTIONS. The Organization’s distribution of the Sermon Pack and the Organization’s Messages may be performed solely on the Organization’s premises and may be promoted solely to the Organization’s Attendees, on the Organization’s premises, and on the Organization’s corporate website according to the rules of this Agreement. The organization may stream said recordings from its website, its YouTube channel, or other third-party websites (i.e., Facebook, Instagram, etc.) provided such delivery does not violate the terms of this Agreement. The Organization is prohibited from selling audio, video, or transcriptional recordings of its presentation of any Armor of Oak Sermon Pack, whether to internal Organization members, or externally to the public or other outside organizations. The Organization agrees not to post its presentation of Licensed Material and the Core Content or any of the graphic or video elements included in the Sermon Pack as outlined in this Agreement, without full attribution to Armor of Oak. The Organization agrees not to use any Trademark or Core Content in, on, or associated with any for-sale products or services. All use of the Trademarks inures to the benefit of Armor of Oak.
About
3. Universal Terms, Liability & Dispute Resolution
The protective covenants, licensing restrictions, universal terms, AI prohibitions, liability limitations, and dispute resolution mandates set forth in this section of this Agreement apply universally, unconditionally, and without exception to the Organization’s possession, whether physical or digital, or use of all Licensed Material, encompassing both The Systems and The Sermon Packs and to all other Licensed Material, whether classified as a System or a Sermon Pack. By accepting, possessing, or using any Armor of Oak Licensed Material your organization agrees to adhere to the following mandatory compliance standards:
3.1. VISUAL REQUIREMENTS. The Armor of Oak branding, Trademark designations, and copyright notices must remain clearly visible on all authorized printed materials, handouts, and allowed visual aids. This includes, but is not limited to, any sanctuary screens, digital display devices, music stands, or presentation slides displaying permitted Armor of Oak copyrighted text from the Sermon Packs only. In strict accordance with the terms set forth elsewhere in this Agreement, the display, projection, or replication of any PAPPY™ or MY PAPPY™ acronym mechanics, structural charts, or operational keys on any presentation slide or sanctuary screen is completely prohibited; slides for the Systems are strictly limited to displaying the approved Trademarked text name of the System only, which must carry the proper symbol (™).
3.2. NO COMMERCIAL OR CORPORATE USE. Armor of Oak books, Sermons, Systems, and frameworks are licensed strictly for local church ministry use. They may not be taught, displayed, or utilized in a public corporate setting, commercial environment, or secondary commercial educational space without a distinct, separate executive licensing Agreement from Armor of Oak.
3.3. STRICT AI PROHIBITION. The use of any Armor of Oak text, Sermons, Manuscripts, Core Content, definitions, curriculum, PAPPY™, or MY PAPPY™ Systems or frameworks for training artificial intelligence or machine learning models is strictly prohibited. You may not upload these materials to populate custom GPTs, automated writing tools, or use AI platforms to generate derivative "remixes" of the Content.
3.4. PUBLIC FILE SHARING BANS. The Core Content of Sermons, Manuscripts, PAPPY™ Systems, framework, layout guides, and proprietary master tools must never be uploaded as open-source, unencrypted, or freely downloadable files on public cloud folders, open websites, or social media networks.
3.5. NO TRANSFERRING OR LOANING. Your resource license is tied strictly to your single, physical group meeting location and your Attendee tier level. Loaning, sharing, or transferring of any Core Content or Licensed Material to traveling evangelists, guest speakers, or outside church consultants is strictly prohibited.
3.6. NO SUBLICENSE OR ASSIGNMENT. The license granted by this Agreement does not permit the Organization to license or share the Licensed Material, Trademarks, or Core Content to, or with, or to assign this Agreement to, or with, any other person or organization. Any attempted sublicense or assignment without the receiving party obtaining their own respective resource license constitutes a material breach of this Agreement and is subject to legal remedies by Armor of Oak to both the giving and receiving parties. Multi-site organizations must purchase resources separately per campus to obtain a distinct Sanctuary License.
3.7. TERRITORY/TERM. The “Territory” is Worldwide. The “Term” is perpetual from the date of purchase.
3.8. VALID RIGHTS/NOTICE OF INFRINGMENT. The Organization acknowledges that the Trademarks are valid and valuable Trademarks exclusively owned by Armor of Oak and the copyrightable components of the Core Content are copyrighted works exclusively owned by Armor of Oak, and suppliable only by its authorized publisher and distributor. The Organization agrees that it will not challenge or dispute Armor of Oak’s exclusive rights in and to the Trademarks or the Core Content, and agrees to provide prompt written notice to Armor of Oak & Morsels in the event that the Organization learns that any person or organization infringed or is infringing upon Armor of Oak rights to the Trademarks or the Core Content.
3.9. RIGHT TO LICENSE. Armor of Oak represents that, to the best of its knowledge, it has the right to license the Trademarks and the Core Content to the Organization for the uses set forth in this Agreement. Armor of Oak & Morsels MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, REGARDING THE LICENSED MATERIAL, TRADEMARKS OR CORE CONTENT, AND EXPRESSLY MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
3.10. INDEMNIFICATION/INSURANCE. The Organization agrees to defend, indemnify, and hold harmless Armor of Oak & Morsels Ministry of Christ and their parent companies, subsidiaries, officers, directors, employees, members, and agents against any claim, dispute, loss, expenses, damages, gross negligence, breach of this Agreement, or other liability arising in whole or in part from the Organization’s breach of this Agreement or the Organization’s use of the Trademarks, Licensed Material, or Core Content. The Organization represents that it carries general liability insurance (including coverage for the indemnification obligation in this Agreement), and that it will provide Armor of Oak and/or Morsels with a certificate of insurance indicating the same promptly upon Armor of Oak and/or Morsels’s request.
3.11. LIMITATION OF LIABILITY. Armor of Oak & Morsels maximum liability to the Organization, Purchaser, Possessor, and User under this Agreement will be the refund of the amount paid by the Organization for the resource purchased. IN NO EVENT WILL Armor of Oak & Morsels HAVE ANY LIABILITY TO THE ORGANIZATION FOR ANY OTHER AMOUNTS OR FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, WHETHER OR NOT THE ORGANIZATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3.12. RELATIONSHIP. This Agreement does not create any affiliate, partnership, joint venture, or agency relationship between Armor of Oak & Morsels with the Organization, and the Organization agrees not to imply that any such relationship exists.
3.13. TERMINATION. Armor of Oak & Morsels reserves the right to terminate this Agreement at any time with no refund in the event of the Organization’s breach of any term of this Agreement. Additionally, Armor of Oak & Morsels reserves the right at any time to terminate the license to a specific Trademark, component of Core Content, or Licensed Material with a pro-rata refund to the Organization in the event Armor of Oak & Morsels discovers that a Trademark or component of Core Content infringes upon the rights of any third party.
3.14. WAIVER. Failure by Armor of Oak & Morsels to enforce any term of this Agreement will not be deemed a waiver of its right to enforce that or any other term of this Agreement or any other Agreement that exists between the parties.
3.15. GOVERNING LAW/DISPUTE RESOLUTION. This Agreement shall be interpreted under the laws of the State of North Dakota without regard to conflict of law provisions. Any dispute, controversy, or claim arising under, out of, in connection with, or in relation to this Agreement will be subject to mediation conducted in accordance with the Rules of Procedure for Christian Conciliation (the “Rules”) as established by the Institute for Christian Conciliation (a division of Peacemaker Ministries) located in Billings, Montana. If the parties fail to resolve the conflict through mediation, then the matter will be resolved through final and binding arbitration conducted in accordance with and subject to the Arbitration Rules contained within the Rules or such other mutually agreeable arbitration method. The mediation sessions or arbitration hearings will be held in Bismarck, North Dakota. Judgment upon any award rendered in arbitration may be entered in any court located in Burleigh County, North Dakota having jurisdiction thereof. Armor of Oak reserves the right to recover attorney and other legal fees in addition to any other relief it deems justified. In the event of a breach or contract violation, the Organization, Purchaser, Possessor, or User is solely liable for 100% of all legal fees, attorney costs, mediation expenses, and court costs incurred by all parties involved. The Organization, Purchaser, Possessor, or User explicitly indemnifies, acknowledges and agrees that Armor of Oak and Morsels Ministry of Christ, their subsidiaries, and their parent companies shall not be held liable under any circumstances for any legal costs, attorney costs, mediation expenses, and court costs in the event of arbitration or legal matters arising from this Agreement. This paragraph does not prevent Armor of Oak & Morsels from seeking an injunction or other extraordinary relief to protect or stop the infringement of the Trademarks or the Core Content, and the Organization agrees that Armor of Oak & Morsels shall be entitled to seek injunctive relief to stop such infringement. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
